PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR WEBSITE OR ENGAGING OUR SERVICES. BY ACCESSING OR USING THE Yazeo WEBSITE (yazeo.com) OR ANY SERVICES PROVIDED BY Yazeo, INC., YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR WEBSITE OR SERVICES.
1.1. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Yazeo, Inc., a Texas corporation with its principal office in Houston, Texas ("Yazeo," "we," "us," or "our").
1.2. These Terms govern your access to and use of the Yazeo website located at yazeo.com (the "Website") and all AI Recommendation Optimization (ARO), Answer Engine Optimization (AEO), AI search visibility, and related digital marketing services provided by Yazeo (the "Services").
1.3. Modification of Terms: We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Website. Your continued use of the Website or Services after any modification constitutes acceptance of the modified Terms.
1.4. Service Agreements: Additional terms may apply to specific Services and will be outlined in a separate Service Agreement or Statement of Work ("SOW"). In the event of a conflict, the Service Agreement shall prevail.
2.1. Yazeo provides AI Recommendation Optimization (ARO) services designed to improve the likelihood that client businesses are recommended by AI platforms including ChatGPT, Google AI Overviews, Perplexity, Gemini, and Claude.
2.2. Scope: Services may include content strategy, schema markup implementation, multi-platform review management, directory management, third-party authority building, and visibility monitoring.
2.3. The specific scope, deliverables, timeline, and pricing are defined in the Service Agreement or SOW. These Terms apply to all engagements regardless of scope.
3.1. IMPORTANT DISCLAIMER: Yazeo does not and cannot guarantee that any AI platform (including ChatGPT, Google AI Overviews, Perplexity, Gemini, Claude, or any other current or future AI tool) will recommend, mention, cite, or feature your business in any specific query response, at any specific time, or for any specific duration.
3.2. Independent Platforms: AI platforms are operated by independent third parties. Yazeo has no control over or influence on the algorithms, training data, or output generation of any AI platform.
3.3. Probabilistic Nature: AI platform outputs are probabilistic, not deterministic. Results may vary by time, user, and geographic location.
3.4. Deliverable Guarantee: Yazeo guarantees the quality and timely delivery of the Deliverables described in your SOW. These are designed to build the digital evidence signals that AI platforms evaluate, based on observed industry patterns.
3.5. Past Results: Past results achieved for other clients do not guarantee similar results for your business. Results vary based on market competitiveness and existing digital presence.
3.6. Projections: Any directional expectations are provided in good faith based on professional judgment but are not warranties or guarantees of specific results.
4.1. Information Accuracy: You agree to provide accurate, complete, and current information about your business required to perform the Services.
4.2. Warranties: You represent that all information provided is truthful and does not violate any law or third-party right.
4.3. Platform Access: You agree to provide timely access to your website, CMS, and other tools. Yazeo is not responsible for delays caused by failure to provide access.
4.4. Approval Timelines: You agree to review and approve deliverables within specified timeframes. Failing feedback, Yazeo may proceed with implementation at its professional discretion.
4.5. Credential Security: You are responsible for maintaining the security of all shared credentials.
4.6. Modifications: You agree not to independently modify or remove deliverables implemented by Yazeo without prior consultation, as this may negatively impact AI visibility.
5.1. Fees: Fees are specified in your Service Agreement and quoted in USD.
5.2. Schedule: Monthly fees are due in advance on the first day of each service month. Initial setup fees are due upon execution.
5.3. Late Payments: Payment is due within 15 days. Late payments are subject to a 1.5% monthly fee.
5.4. Suspension: Yazeo reserves the right to suspend Services if payment is more than 30 days overdue.
5.5. Non-Refundability: Fees are non-refundable, including in situations where AI platforms change their algorithms or behavior.
5.6. Pricing Adjustments: Yazeo may adjust pricing with 30 days written notice.
5.7. Taxes: You are responsible for all applicable taxes and duties.
6.1. Client Content Ownership: Original content created for your business becomes your property upon full payment. You receive a perpetual, worldwide license to use this content.
6.2. Proprietary Methods: Methodologies, frameworks, tools, and proprietary data remain the exclusive property of Yazeo.
6.3. Pre-Existing Materials: IP incorporated into deliverables remains the property of Yazeo, licensed to you solely for your engagement.
6.4. Schema Implementation: Technical implementations on your site remain with you upon termination, though the underlying methodology remains Yazeo's property.
6.5. Third-Party IP: No rights are granted in the IP of third-party AI platforms (OpenAI, Google, etc.).
6.6. Marketing Use: You grant Yazeo permission to reference your business as a client in case studies and testimonials.
7.1. Both parties agree to maintain the confidentiality of non-public business information, strategies, and materials.
7.2. Exceptions: Publicly available information, prior known data, or information disclosed pursuant to a legal requirement.
7.3. Yazeo will not disclose your visibility data to third parties without prior written consent, except as required to perform Services (e.g., directory listings).
7.4. Survival: Obligations survive termination for a period of three (3) years.
8.1. Use of personal data is governed by our Privacy Policy, available at yazeo.com/privacy.
8.2. Compliance: Both parties shall comply with applicable data protection laws (GDPR, CCPA, etc.) regarding the processing of personal data.
8.3. Security: Yazeo implements reasonable administrative, technical, and physical security measures to protect client data.
8.4. No Selling: Yazeo does not sell, rent, or trade client data for marketing purposes.
8.5. Retention: Data is retained for 90 days post-termination for transition, then deleted/anonymized unless legal retention is required.
9.1. Initial Term: Typically three (3) months, continuing month-to-month thereafter.
9.2. Notice: Either party may terminate with 30 days written notice after the initial term.
9.3. Immediate Termination by Yazeo: For non-payment (30 days overdue), material breach, false information, or illegal activity.
9.4. Immediate Termination by Client: For uncured material breach by Yazeo within 15 days of notice.
9.5. Post-Termination: All outstanding fees due immediately; access to systems terminated; Confidential Information returned/destroyed.
9.6. Survival: Key sections (Liability, IP, Confidentiality, etc.) survive termination.
10.1. AGGREGATE LIABILITY: Yazeo'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
10.2. Exclusion of Damages: Yazeo is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.
10.3. Specific Exclusions: No liability for AI platform algorithm changes, actions of third-party platforms, or delays caused by your failure to provide access.
10.4. Risk Allocation: These limitations are an essential basis of the bargain between the parties.
11.1. "As Is": Services and Website are provided "as is" and "as available" without warranties of any kind.
11.2. Disclaimer: All implied warranties, including merchantability and fitness for a particular purpose, are expressly disclaimed.
11.3. Specific Disclaimers: No warranty that Services will result in AI recommendations, that the Website will be error-free, or that specific revenue outcomes will result.
12.1. By Client: You agree to indemnify and hold Yazeo harmless from claims arising from your breach of Terms, inaccurate info, or unauthorized use of Services.
12.2. By Yazeo: Yazeo agrees to indemnify you from claims arising from Yazeo's gross negligence or willful misconduct, or IP infringement of proprietary tools.
13.1. Governing Law: Laws of the State of Texas, United States.
13.2. Informal Resolution: Parties agree to attempt 30-day informal resolution before formal steps.
13.3. Mediation: Unsuccessful informal resolution leads to mediation in Houston, Texas.
13.4. Arbitration: Final step is binding arbitration via AAA in Houston, Texas.
13.5. Class Action Waiver: All proceedings conducted on an individual basis only.
14.1. Entire Agreement: Terms and SOW constitute the entire agreement.
14.5. Force Majeure: No liability for delays resulting from causes beyond reasonable control (natural disasters, war, AI platform changes).
14.10. Ethics: No spam, fake reviews, or misleading content. All reviews are authentic; all content is original.
14.11. Global Focus: Additional terms may apply for international clients based on local laws.
15.2. Prohibited Uses: No damage to website, no unauthorized automated access, no malware, no competitive repurposing.
15.3. Audit Limit: Free AI Visibility Audit is provided as a courtesy; Yazeo may limit or discontinue at any time.
15.5. Third-Party Links: Yazeo is not responsible for content or practices of linked third-party sites.
